1 Scope
The business relationship between Profeo Ltd. and the party ordering
goods from Profeo Ltd. (the customer) shall exclusively be subject to
the following General Terms and Conditions (hereinafter referred to as
the "T&C"). The version of the T&C applicable at the
time the order is placed shall apply. This may be inspected at any time
at www.prince2.ch.
The terms of Section 5 below apply exclusively to online orders by
customers who are end users (consumers).
Profeo Ltd. cannot accept any of the customer's terms that deviate from
these T&C unless Profeo Ltd. has expressly agreed to said terms
in writing.
These T&C apply exclusively to the purchase of goods from
Profeo Ltd. by customers resident or domiciled in Switzerland or an EU
country.
These T&C do not apply to services offered by Profeo Ltd., such
as, in particular, consulting and training in the field of process
standards.
2 Contract Partner
The customer enters into a contractual relationship in accordance with
the T&C with:

Commercial Register of the Canton of Zurich (Switzerland) and is
represented by the Managing Director and authorized sole signatory

3 Offer, Conclusion of Contract and Payment
The range of offers on the website www.prince2.ch are not binding and
merely represent an invitation for the customer to order or to submit a
corresponding offer.
By clicking the "Complete my order" button in the final step of the
order process, the customer submits a binding order for the goods
contained in the basket. The contract of sale is formed if Profeo Ltd.
accepts the order after having received it through sending an order
confirmation by e-mail.
Payment for the ordered goods can only be made by credit card. The
customer pays within the shop itself using Moneybookers.
4 Cancellation of Online Orders by Consumers
Customers who are end users (consumers) are entitled to cancel their
contract declaration within two (2) weeks, without giving a reason,
either in writing or by e-mail (an info@prince2.ch) or by returning the
goods. The customer shall be liable for the transport risks involved in
returning the goods.
The period in which the customer is entitled to cancel the contract and
return the goods shall commence upon receipt of the ordered goods,
though it shall not commence before the receipt of this information.
The deadline for cancelling the contract shall be considered to have
been met if the declaration of cancellation is dispatched in due time
or the ordered goods are returned in due time.
The two (2) week period in which the customer is entitled to cancel the
contract and return the goods commences as of the date the goods are
received by the customer.

Consequences of cancellation:
In the event of effective cancellation of the contract, any performance
received by either party is to be returned, as are any benefits derived
from said performance (e.g. user fee for use of the item). Should the
customer be unable to return all or part of the goods received, or only
be able to return the goods in a deteriorated state, the customer shall
pay Profeo Ltd. the appropriate compensation. Obligations to reimburse
payments must be fulfilled by the customer within 30 days of sending
the declaration of cancellation.
The customer shall bear the cost of returning the goods in all cases.
In the event of goods being returned in compliance with the terms
stipulated in the aforementioned Section 4, Profeo Ltd. shall reimburse
the purchase price paid by the customer, though not the shipping costs.
Barring of right of cancellation
The right of cancellation shall only apply to deliveries of CDs and
DVDs as long as the delivered goods have not been unsealed.
5 Delivery
As a rule, the goods shall be delivered within one week of receiving
payment.
Unless otherwise agreed, deliveries shall be sent from the warehouse of
Profeo Ltd. to the delivery address stipulated by the customer.
Should Profeo Ltd. be unable to deliver the ordered goods through no
fault of its own, due to Profeo Ltd.'s supplier failing to fulfil its
contractual obligations, Profeo Ltd. is entitled to withdraw from its
contract with the customer. In this case, the customer shall
immediately be notified that the ordered product is not available. This
does not affect the customer's statutory rights.
Please note that goods shall be shipped uninsured! Profeo Ltd. shall
not be liable for any goods sent by post which go missing.
6 Defects and Warranty
Upon delivery, the customer is required to check for missing items and
obvious defects immediately upon receipt of the goods. In particular,
the customer is required to pay particular attention to verifying that
the postal service has supplied an undamaged package. If necessary, the
customer must open the package in the presence of the postman/mail
carrier.
Torn or obviously opened packages should not be accepted, since
otherwise the recipient is tacitly confirming that the goods have been
received in perfect condition.
7 Damages
Liability for damages, regardless of the legal basis, shall only arise
in the event of malicious or grossly negligent conduct on the part of
the legal representatives of Profeo Ltd. or of other parties employed
by Profeo Ltd. to fulfil its contractual obligations.
This exemption does not apply to breaches of substantial contractual
obligations, nor to liability for warranted characteristics.
8 Intellectual Property Rights / Rights of Use
Should works protected by copyright be included in the scope of
delivery, the customer is hereby granted a simple, non-exclusive right
of use for the respective work. The granting of further rights of use
(e.g. reproduction) requires the express written permission of Profeo
Ltd..
9 Payment and Due Date, Default
The customer is only able to pay the purchase price by credit card
(under the conditions stipulated in § 3).
10 Conditional Sale
The delivered goods remain the property of Profeo Ltd. until payment
has been made in full.
11 Data Protection
All data required to process business transactions is stored
electronically and is not forwarded to third parties. The customer
hereby grants Profeo Ltd. express permission to store and process the
data that is revealed within the scope of this contractual relationship
and that is required to process the order in accordance with the terms
of the Data Protection Act of 19th June 1992 (DSG) [1] and the related
enactments.
12 Applicable Law
Swiss law shall apply.
The place of jurisdiction shall be Küsnacht, Zurich.
